PPRHRT Subscription & Billing Terms

These Subscription & Billing Terms (the “Billing Terms”) govern your purchase and use of any paid features, storage plans, or subscription-based services offered by PPRHRT, LLC (“PPRHRT,” “we,” “us,” or “our”). By purchasing, accessing, or using any Paid Services (as defined below), you agree to be bound by these Billing Terms, which are incorporated into and form part of the PPRHRT Terms of Use.

If you do not agree with these Billing Terms, do not purchase or use any Paid Services.

1. Definitions

For purposes of these Billing Terms:

• “Paid Services” means any features, enhancements, or services offered by PPRHRT for a fee, including increased storage capacity, higher notebook limits, extended content retention, or unlimited access tiers.
• “Subscription Plan” means a recurring paid tier of the Service that provides users with access to certain Paid Services.
• “Subscription Term” means the period during which a Subscription Plan remains active and accessible to you (e.g., monthly or annually).
• “Billing Cycle” means the recurring interval (monthly, annual, or otherwise) at which subscription fees are charged.
• “Free Tier” means the unpaid version of the Service that provides limited access to core features.

2. Eligibility and Account Requirements

To purchase and maintain a Subscription Plan, you must:

• A. Have a valid PPRHRT account;
• B. Provide a current, valid, and accepted payment method; and
• C. Keep your payment information accurate and updated.

You authorize PPRHRT and its third-party payment processors to charge your payment method for all fees incurred under your account.

3. Pricing and Plan Descriptions

Subscription Plans provide access to Paid Services such as:

• Additional notebook storage and capacity
• Extended or unlimited content retention periods
• Enhanced account features

Current pricing and plan descriptions are displayed at the time of purchase and may change in accordance with Section 11 (Price Changes).

All prices are in U.S. dollars unless otherwise stated and do not include taxes, fees, or surcharges, which may vary by location and will be added where applicable.

4. Billing Cycles and Auto-Renewal

By purchasing a Subscription Plan, you agree that:

• Your subscription will automatically renew at the end of each Billing Cycle unless canceled in accordance with Section 7 below;
• You authorize PPRHRT (or its third-party payment processor) to charge your payment method for recurring fees until canceled;
• Renewal fees will be equal to the current price for your Subscription Plan, unless modified pursuant to Section 11.

If your payment method is declined, PPRHRT may suspend or terminate your access to Paid Services until valid payment is provided.

5. Payment Methods

PPRHRT uses third-party providers such as Stripe, to process payments. By providing payment information, you authorize those providers to charge your payment instrument in accordance with their terms.

PPRHRT does not receive or store full credit card information.

You are responsible for ensuring that your payment method remains current and valid.

6. Failure to Pay

If a payment cannot be processed:

• Your Subscription Plan may be suspended, downgraded to the Free Tier, or terminated; and
• You may lose access to Paid Services, including stored content that exceeds Free Tier limits.

PPRHRT is not responsible for loss of content resulting from unpaid accounts.

7. Cancellation

You may cancel your Subscription Plan at any time by clicking the “Cancel Subscription” button on your User Profile page and then following the instructions provided in your account settings or through the platform used to purchase your subscription (e.g., Stripe).

Upon cancellation:

• Your subscription will remain active through the end of the current Billing Cycle;
• You will not receive a refund or credit for unused time; and
• Access to Paid Services will end when the Billing Cycle expires.

Canceling Paid Services does not automatically delete your PPRHRT account.

8. Refund Policy

Except where required by law, all payments are non-refundable and non-creditable, including partial-month periods, unused time, or changes to your Subscription Plan.

Refunds may be granted only in exceptional cases, such as documented billing errors.

9. Plan Changes

You may upgrade or downgrade your Subscription Plan at any time.

• Upgrades: take effect immediately, and you may be charged a prorated fee.
• Downgrades: take effect at the start of the next Billing Cycle.
• If downgrading reduces your storage or notebook limits, you may be required to remove content.

10. Taxes

Subscription fees may be subject to sales tax, VAT, or other applicable taxes, which will be collected and remitted where required by law. You are responsible for any such taxes.

11. Price Changes

PPRHRT may change subscription pricing from time to time. If prices increase:

• We will provide advance notice (email or in-Service notification);
• Continued use of Paid Services after the effective date constitutes acceptance of the new price.

If you do not agree with the price change, you must cancel before it takes effect.

12. Termination by PPRHRT

We may suspend or terminate your access to Paid Services if:

• You violate the Terms of Use or these Billing Terms;
• Payment cannot be processed; or
• We discontinue a Subscription Plan.

If we terminate for cause, no refunds will be issued.

13. Entire Agreement

These Billing Terms supplement the PPRHRT Terms of Use. In the event of a conflict between the two, these Billing Terms govern your use of Paid Services.

14. Changes to this Policy

We may update these Billing Terms from time to time. When we do, we will:

• update the “Effective as of” date, and
• provide additional notice if changes materially affect your rights.

Your continued use of the Service after updates constitutes acceptance of the revised Billing Terms.
