PPRHRT Terms of Use

Effective as of November 25, 2025

These Terms of Use (the “Terms”) are a legal agreement between you and PPRHRT, LLC (“PPRHRT,” “we,” “us,” or “our”) governing your access to and use of our website located at PPRHRT.com and any related content, features, or services (collectively, the “Service”).

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you must not access or use the Service.

You should read these Terms carefully and keep a copy for your records.

A. Purpose of the Service

PPRHRT provides a social platform that allows users to connect with others through the creation and exchange of original content and related interactions (the “User Content”). The Service may include both:

  • A limited free service, and
  • An unlimited or enhanced subscription service, as further described in our Subscription & Billing Terms.

B. Privacy & Additional Terms

Your use of the Service is subject to our Privacy Policy, which explains how we collect, use, and disclose your information, and which is incorporated into these Terms by reference. Please review the Privacy Policy carefully.

Additional terms may apply to certain features or services, such as Subscription & Billing Terms. Those additional terms are also incorporated by reference and form part of your agreement with us.

C. Eligibility

You must be at least 13 years old to use the Service.

The Service is not directed to children under 13, and we do not knowingly collect personal information from children under 13. If we learn that a child under 13 has provided us with personal information, we will take steps to delete such information and close the account.

If you are between 13 and 17 years old, you may use the Service only with the consent of a parent or legal guardian, and you represent that such consent has been obtained.

By using the Service, you represent and warrant that you meet these eligibility requirements and have the legal capacity to enter into these Terms.

PPRHRT reserves the right, at any time, to verify a user’s age if we have reason to believe the age restriction has been violated.

D. Account Registration & Security

To access certain features, you may be required to create an account.

You agree that:

  • You will provide accurate, current, and complete information during registration and keep it updated.
  • You are solely responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
  • You will promptly notify us at dustin@PPRHRT.com if you suspect any unauthorized use of your account or any other breach of security.

You may not assign, transfer, or share your account with any other person or entity. PPRHRT is not liable for any loss or damage arising from your failure to safeguard your account.

We reserve the right, in our sole discretion, to refuse registration, close accounts, or reclaim usernames.

E. Electronic Communications and E-Signatures

By visiting the Site, creating an account, or communicating with us electronically, you consent to receive communications from us electronically (such as emails, in-app messages, and notices posted on the Service).

You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing. By clicking “Sign up,” “Create account,” “I agree,” or similar, you are providing your electronic signature and agreeing to these Terms.

F. User Conduct & Acceptable Use

The Service allows you and other users to post, upload, submit, store, share, or otherwise make content available, including text, images, video, and other materials (“User Content”).

You retain any rights you have in your User Content. PPRHRT does not claim ownership of your original content.

Private User Content

“Private User Content” means any User Content that you designate as private or otherwise restrict to a limited audience using the Service’s privacy or sharing controls.

For Private User Content, you grant PPRHRT a limited, non-exclusive, worldwide, royalty-free license to host, store, process, and transmit such content solely for the following purposes:

  • Providing the Service to you, including transmitting and displaying the content to the specific individuals or audience you have selected;
  • Operating, maintaining, troubleshooting, and securing the Service (including preventing fraud, abuse, and technical issues);
  • Complying with applicable law, regulation, legal process, or a governmental or law-enforcement request; and
  • Protecting the rights, safety, or property of PPRHRT, our users, or the public when we reasonably believe such actions are necessary.

In addition to the purposes listed above, PPRHRT may use Private User Content internally to:

  • test, evaluate, and improve platform functionality;
  • conduct internal quality assurance exercises;
  • monitor, analyze, and enhance user experience;
  • evaluate new features or technical changes; and
  • perform research and development related to the Service,
  • provided that PPRHRT’s internal use:
  • remains strictly internal to PPRHRT;
  • does not involve public display, public performance, or sharing with other users;
  • is not used for advertising, marketing, or content promotion; and
  • does not involve using Private User Content to train general purpose machine-learning models, except as necessary to detect fraud, abuse, malware, or safety threats.

PPRHRT will not share, disclose, or otherwise make Private User Content available to anyone except those individuals you explicitly authorize or as required under the purposes listed above.

You may modify the privacy settings for your User Content at any time, and such changes will apply prospectively.

Public User Content

“Public User Content” means User Content that you post or make available to the public or to an unrestricted audience.

For Public User Content, you grant PPRHRT a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use your Public User Content in the following ways:

  • host, store, reproduce, modify, adapt, publish, translate, distribute, publicly display, publicly perform, and create derivative works of such content;
  • in connection with operating, developing, improving, and promoting the Service;
  • including features such as feeds, recommendations, discovery, social sharing, search, and content distribution.

This broader license applies only to Public User Content.

Public & Private Content

You are responsible for selecting the appropriate privacy settings each time you upload or share User Content. PPRHRT is not responsible for the actions of users who have been granted access to Private User Content by you.

These licenses last only for as long as your User Content is stored on or accessible through the Service, except that backup copies may persist temporarily as part of PPRHRT’s normal data retention, archival, and disaster-recovery processes.

For all types of User Content, you represent and warrant that:

  • You own or have all necessary rights to the User Content you submit; and
  • Your User Content and your use of the Service do not and will not:
    • Infringe, misappropriate, or violate any third-party rights, including intellectual property, privacy, or publicity rights;
    • Violate any applicable law or regulation; or
    • Violate these Terms or our Copyright Policy.

You are solely responsible for your User Content and the consequences of posting or publishing it.

Depending on your settings and the features you use, some or all of your User Content may be visible to other users or the public. Please do not post personal or sensitive information that you do not want to be publicly available. PPRHRT explicitly disclaims any and all liability for the disclosure of personal or private information that you publish as User Content, as further outlined in our Privacy Policy.

G. Content Deletion, Export, Retention

You may delete your User Content or close your account at any time.

When you leave a notebook or close your account, your associated User Content in that notebook will be promptly removed from public and private view and will no longer be accessible to other users.

If you delete a shared notebook without assigning another user as an owner, all User Content in that notebook will be removed from public and private view and will no longer be accessible to other users. You acknowledge that once a shared notebook is deleted without a successor owner, it cannot be restored.

If you later rejoin a notebook, or reopen your account, any User Content that still exists in the notebook and has not been deleted will again be visible according to that notebook’s visibility settings (public or private). You understand that User Content from deleted shared notebooks cannot be recovered, and PPRHRT has no obligation to restore or retrieve such content.

If you wish to preserve User Content in a shared notebook after your departure, you may designate another user as an owner prior to leaving. Only notebook owners retain the ability to maintain, control, and restore access to shared User Content.

However, you acknowledge and agree that PPRHRT may retain copies of your User Content for a limited period of time after deletion or account closure for the following purposes:

  • allowing you to restore your account or content if you choose to return to the Service;
  • complying with legal, regulatory, or law-enforcement requirementsi;
  • maintaining the integrity and security of the Service, including preventing fraud or abuse; and
  • performing routine backup, archival, and disaster-recovery operations.

Except for these limited purposes, PPRHRT will not display, share, or otherwise make your deleted User Content available once you have removed it or closed your account.

You may download or export your User Content before deletion or account closure.

H. Technical and Usage Information

Although the Service currently collects only limited personal information (such as your email address), you acknowledge that PPRHRT may, in the future, collect technical or usage information that your device automatically sends when accessing the Service, such as:

  • device type,
  • operating system,
  • browser type,
  • logs of interactions with the Service,
  • Internal usage metrics, and
  • diagnostic, crash, or performance data.

Any such collection and use will be described in our Privacy Policy, and will occur solely for purposes such as operating, securing, improving, and troubleshooting the Service.

I. User Conduct and Content Moderation

You agree that you will not use the Service, or any User Content you create, upload, or share, to:

  • engage in harassment, abuse, threats, defamation, or targeted attacks against any individual or group;
  • promote or depict illegal activity, self-harm, violence, or the exploitation of others;
  • publish or distribute content that is obscene, hateful, discriminatory, or that incites violence or unlawful conduct;
  • infringe, misappropriate, or violate any third-party rights, including copyrights, trademarks, privacy rights, or rights of publicity;
  • upload malicious code, viruses, malware, or any content that could damage, disable, or interfere with the proper functioning of the Service;
  • attempt to circumvent access controls, harvest user information, or engage in unauthorized data collection, scraping, or surveillance; or
  • impersonate others or misrepresent your identity or affiliation.

PPRHRT reserves the right, but has no obligation, to monitor, review, remove, restrict, or disable access to any User Content or account that we believe, in our sole discretion, may violate these Terms, applicable law, or the rights, safety, or interests of PPRHRT or its users.

Due to the nature of the Service, which allows users to share both Private and Public User Content, PPRHRT’s ability to review or monitor content is inherently limited. You acknowledge that PPRHRT does not and cannot routinely screen all User Content and has no obligation to do so, except where otherwise required by law.

Nothing in this section requires PPRHRT to actively monitor the Service, investigate user activity, or take action against any content or user. You remain solely responsible for your interactions and the User Content you choose to share.

J. Intellectual Property Rights

Except for User Content, all content and materials on the Service, including text, graphics, logos, icons, images, audio clips, video, software, and the compilation thereof (the “PPRHRT Content”) are the property of PPRHRT or its licensors and are protected by copyright, trademark, and other intellectual property laws.

Subject to these Terms and the Copyright Policy, PPRHRT grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service and PPRHRT Content solely for your personal, non-commercial use.

You agree not to:

  • Copy, modify, create derivative works of, distribute, sell, transfer, publicly display, publicly perform, or otherwise exploit the PPRHRT Content, except as expressly permitted by these Terms;
  • Reverse engineer, decompile, or disassemble any part of the Service; or
  • Remove or alter any copyright, trademark, or other proprietary notices.

If you download or access any mobile application or other software provided by PPRHRT (collectively, the “App”), then subject to your compliance with these Terms, PPRHRT grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download, install, and use one copy of the App on a mobile device or computer that you own or control, solely to access and use the Service for your personal, non-commercial purposes.

You agree that you will not:

  • copy, modify, or create derivative works of the App;
  • distribute, sell, lease, rent, lend, sublicense, or otherwise transfer the App to any third party;
  • reverse engineer, decompile, or disassemble the App except to the extent such restrictions are prohibited by law;
  • remove or alter any copyright, trademark, or proprietary rights notices; or
  • access or use the App in any way that violates these Terms or applicable law.

The App may automatically download and install updates, bug fixes, or enhancements. You agree to permit such updates and acknowledge that the App may not function properly if you do not install them.

No rights are granted to you by implication, estoppel, or otherwise, except as expressly set forth in these Terms. PPRHRT reserves all rights not expressly granted.

K. Third-Party Sites & Vendors

The Service may contain links to or integrations with third-party websites, services, or resources (“Third-Party Services”), including without limitation payment processors, hosting providers, analytics vendors, and other service partners. Third-Party Services are provided solely as a convenience, and PPRHRT does not control and is not responsible for the content, policies, or practices of any Third-Party Service.

We may engage Third-Party Services that process personal information on our behalf. While PPRHRT uses commercially reasonable efforts to select reputable vendors with appropriate data security practices, we do not control and are not responsible for the security of information once it is transmitted to or processed by any Third-Party Service.

You acknowledge and agree that:

  • Your interactions with Third-Party Services are at your own risk, and are governed exclusively by the terms, conditions, and privacy policies of those third parties;
  • PPRHRT is not liable for any acts, omissions, breaches, or negligence of Third-Party Services, including any loss, theft, misuse, or unauthorized access of data occurring on or through their systems;
  • PPRHRT does not receive or store full payment card information when payments are processed through Third-Party Services (such as Stripe, Apple, or Google); and
  • PPRHRT makes no warranties or representations regarding Third-Party Services and does not endorse or assume responsibility for them.

If you choose to provide payment information or any other personal information to a Third-Party Service, you do so at your sole discretion and risk.

L. Subscription & Paid Features

PPRHRT may offer paid features or subscription plans. For purposes of these Terms: (1) “Subscription Plan” means a paid tier of the Service that provides additional storage capacity, increased notebook limits, extended retention periods, or other enhanced features described in the Subscription & Billing Terms; (2) “Subscription Term” means the recurring period (such as monthly or annually) for which you obtain access to a Subscription Plan; (3) “Paid Services” refers collectively to all Subscription Plans and any other features, enhancements, or services that PPRHRT offers for a fee.

The terms governing pricing, billing, renewals, cancellations, and refunds for Paid Services are set forth in our Subscription & Billing Terms, which are incorporated by reference into these Terms.

Subscription Plans renew automatically unless canceled in accordance with the Subscription & Billing Terms.

By using Paid Services, you agree to the terms set forth in our Subscription & Billing Terms.

M. International Users

The Service is controlled and operated by PPRHRT from the United States and is primarily intended for users located in the United States.

If you access or use the Service from outside the United States, you are responsible for complying with all local laws and regulations that may apply. You agree that you will not use the Service or the PPRHRT Content in any manner or country prohibited by applicable laws or regulations.

N. Indemnification

You agree to indemnify, defend, and hold harmless PPRHRT, its affiliates, and their respective officers, directors, employees, agents, and representatives from and against any and all losses, liabilities, claims, demands, damages, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to:

  • Your access to or use of the Service;
  • Your User Content;
  • Your violation of these Terms, any other applicable terms, or any law or regulation; or
  • Your violation of any third party’s rights.

PPRHRT reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate with us in asserting any available defenses.

O. Disclaimer of Warranties

Your use of the Service is at your sole risk. The Service and all information, software, products, and services included in or available through the Service may include inaccuracies or typographical errors. Changes are periodically added to the information herein. PPRHRT, LLC and its suppliers may make improvements and/or changes to the Service at any time.

PPRHRT, LLC and its suppliers make no representations about the suitability, reliability, availability, timeliness, or accuracy of the information, software, products, services, and related graphics contained on the Service for any purpose. To the maximum extent permitted by applicable law, all such information, software, products, services, and related graphics are provided “as is” without warranty or condition of any kind.

PPRHRT, LLC and its suppliers hereby disclaim all warranties and conditions with regard to this information, software, products, services, and related graphics, including all implied warranties or conditions of merchantability, fitness for a particular purpose, title, and non-infringement.

PPRHRT, LLC does not guarantee that the Service will be uninterrupted, secure, or error-free, that defects will be corrected, or that the Service or the servers that make it available are free of viruses or other harmful components. PPRHRT, LLC does not warrant or make any representations regarding the use or the results of the use of any information, software, products, services, or related graphics in terms of their correctness, accuracy, reliability, or otherwise.

P. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall PPRHRT, LLC or its suppliers be liable for any direct, indirect, punitive, incidental, special, consequential, or any other damages whatsoever, including without limitation damages for loss of use, data, or profits, arising out of or in any way connected with:

  • the use or performance of the Service;
  • the delay or inability to use the Service or related services;
  • the provision of or failure to provide services; or
  • any information, software, products, services, and related graphics obtained through the Service, whether based on contract, tort, negligence, strict liability, or otherwise, even if PPRHRT, LLC or any of its suppliers has been advised of the possibility of such damages.

Because some states or jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, the above limitation may not apply to you.

If you are dissatisfied with any portion of the Service, or with any of these Terms, your sole and exclusive remedy is to discontinue using the Service.

Q. Agreement to Arbitrate

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

This arbitration agreement is governed by the Federal Arbitration Act (FAA).

To the fullest extent permitted by law, you and PPRHRT agree that any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Service (whether based in contract, tort, statute, fraud, misrepresentation, or any other legal theory) will be resolved exclusively by final and binding arbitration, rather than in court, except that each party may seek relief in small claims court for disputes or claims within that court’s jurisdiction.

Arbitration will be conducted by a single neutral arbitrator under the rules and procedures of the American Arbitration Association (AAA) then in effect, or another arbitration organization to which the parties mutually agree in writing. The arbitrator shall have the authority to resolve all threshold issues, including issues relating to the formation, scope, enforceability, or validity of this arbitration agreement.

Unless the parties agree otherwise in writing, arbitration will be held in Los Angeles County, California.

Notwithstanding the foregoing, this arbitration agreement does not preclude either party from seeking public injunctive relief—but only to the extent such relief is expressly required to be available under California law. If an arbitrator determines that a claim for public injunctive relief cannot be heard in arbitration, then such a claim may be brought only in a court of competent jurisdiction, while all other claims must be arbitrated. The parties agree that any such court claim shall be stayed pending the outcome of the arbitration.

YOU AND PPRHRT AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR SHALL HAVE NO AUTHORITY TO HEAR OR PRESIDE OVER ANY CLASS, COLLECTIVE, REPRESENTATIVE, OR JOINT PROCEEDING.

THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON’S CLAIMS, AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF A REPRESENTATIVE OR CLASS PROCEEDING WITHOUT THE EXPRESS WRITTEN CONSENT OF ALL PARTIES.

This class action waiver is a fundamental component of this arbitration agreement and is material to the parties’ decision to enter into this agreement.

If you initiate arbitration, PPRHRT will pay all AAA filing, administrative, and arbitrator fees, only to the extent it exceeds the amount you would otherwise pay to file a lawsuit in a court of competent jurisdiction. Each party shall bear its own attorneys’ fees and costs, except to the extent any applicable statute provides otherwise.

This arbitration agreement shall survive the termination of these Terms and your use of the Service. If any portion of this arbitration agreement (other than the class action waiver) is found unenforceable, that portion shall be severed, and the remainder shall be enforced to the fullest extent permitted by law. If the class action waiver is found unenforceable, then the entire arbitration agreement shall be unenforceable, and any such class, collective, or representative claims must be brought exclusively in a court of competent jurisdiction.

R. Governing Law

These Terms and any dispute arising out of or relating to them or the Service will be governed by and construed in accordance with the laws of the State of California, without regard to conflict of laws principles.

To the extent any claim is permitted to proceed in court, you and PPRHRT agree to the exclusive jurisdiction and venue of the state and federal courts located in Los Angeles County, California, and you waive any objection to jurisdiction and venue in such courts.

S. Termination

We may, in our sole discretion and without notice, suspend or terminate your access to and use of the Service (including your account and/or any User Content) at any time and for any reason, including if we reasonably believe you have violated these Terms or applicable law, or if your account has been inactive for a prolonged period.

You may stop using the Service and/or delete your account at any time.

Upon termination:

  • The rights and licenses granted to you will immediately cease;
  • We may delete or disable access to your account and any User Content, subject to our legal obligations and data retention policies; and
  • Sections that by their nature should survive (including but not limited to ownership provisions, indemnification, limitations of liability, arbitration, and governing law) will survive termination.

T. Modification to the Terms

We may update or modify the Service from time to time, including by adding or removing features or discontinuing the Service (in whole or in part).

We may also update these Terms from time to time. When we do, we will revise the “Effective as of” date at the top of these Terms and may provide additional notice (such as posting a notice on the Service or sending you an email).

Your continued use of the Service after any changes to these Terms constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service.

U. Miscellaneous

No Agency Relationship. Nothing in these Terms creates any partnership, joint venture, employment, or agency relationship between you and PPRHRT.

Severability. If any provision of these Terms is held invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.

Entire Agreement. These Terms, together with any additional terms referenced herein (including the Privacy Policy, Copyright Policy, and Subscription & Billing Terms), constitute the entire agreement between you and PPRHRT regarding the Service and supersede all prior or contemporaneous agreements or understandings.

Waiver. PPRHRT’s failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

Assignment. You may not assign or transfer these Terms, by operation of law or otherwise, without PPRHRT’s prior written consent. PPRHRT may freely assign or transfer these Terms without restriction.
